Terms of Use for MYAKU-N! Services

Article 1  Purpose

1.  These terms of use for MYAKU-N! Services (these “Terms”) apply to the services provided by SBI Holdings, Inc. (the “Company”) in connection with viewing and managing, etc. the MYAKU-N! Services NFTs (as defined in Article 2; those services provided by the Company are hereinafter collectively referred to as the “Services”), and the purpose of these Terms is to set forth the relationship of rights and obligations between Users (as defined in Article 2) and the Company.

2. The Services fall under the “EXPO NFT Site (tentative name)” described in Article 5, paragraph 3 of EXPO 2025 Digital Wallet Terms of Use (https://expo2025-wallet.com/en/terms/term.html), and in using the Services, each User shall agree to EXPO 2025 Digital Wallet Terms of Use and EXPO 2025 Digital Wallet Privacy Policy (https://expo2025-wallet.com/en/terms/privacy.html).

3. Users shall use the Services in accordance with the contents of these Terms upon agreeing to the contents stated in these Terms. The Company may, from time to time, prescribe various terms and conditions (including, but not limited to, the Personal Information Protection Policy (https://www.expo2025-dwfs.jp/nft/en/policy.html)), notes, and other rules in connection with the Services (hereinafter collectively referred to as the “Individual Terms”). The Individual Terms shall, regardless of their respective names, constitute a part of these Terms. In the event of any discrepancy between the provisions of these Terms and the contents of any of the provisions of the Individual Terms, the provisions of the Individual Terms shall apply in preference to the provisions of these Terms.

4. Each minor, adult ward, person under curatorship, or person under assistance is requested to obtain the consent or other approval of a legal representative, curator, or assistant, including a person who has parental authority or a guardian, when using the Services and agreeing to these Terms.

5. These Terms are prepared in Japanese. In the event of any discrepancy between these Terms prepared in Japanese and the English translation of these Terms provided by the Company, the Japanese provisions shall prevail.

Article 2 Definitions

1. “World Exposition” means Expo 2025 Osaka, Kansai, Japan held by the Association.

2. “Association” means the Japan Association for the 2025 World Exposition.

3. “Personal Information” means information that falls under “personal information” as prescribed in Article 2, paragraph (1) of the “Act on the Protection of Personal Information.”

4. “Services Provision Period” means the period prescribed in Article 7, paragraph 1.

5. “Burn” means to make NFTs unavailable by transferring those NFTs to an inaccessible wallet address.

6. “Status MYAKU-N!” means MYAKU-N! Services NFTs issued in connection with the Status MYAKU-N! Service.

7. “Digital Wallet Services” collectively means services that are provided by HashPort Inc. as ‘EXPO 2025 Digital Wallet’ and have, at their core, the cashless payment service, point service, and NFT service.

8. “Websites” means the websites named “EXPO2025 Digital Wallet NFT Site” or “MYAKU-N! Site” that the Company operates under the following domains: “https://www.expo2025-dwfs.jp/nft/” and “https://www.expo2025-dwnft.jp/” (if any of the domains or the name of the websites is changed, then including the websites after such change), and Users will view and manage, etc. MYAKU-N! Services NFTs via the Websites.

9. “MYAKU-N! Services NFT(s)” collectively means NFTs that the Company grants to Users in connection with the MYAKU-N! Services and includes all applications, software programs, databases, icons, images, text, documents, and other tangible or intangible components of NFTs.

10. “MYAKU-N! Services NFT Linked Image” means an image linked to a MYAKU-N! Services NFT.

11  “MYAKU-N! Services” collectively means the services through which the Company distributes NFTs to Users in connection with the World Exposition. MYAKU-N! consists of the following four types of services set forth below: (1) “Status MYAKU-N! Service”, (2) “My Own MYAKU-N! Service”, (3) “Campaign MYAKU-N! Service”, and (4) “Pavilion MYAKU-N! Service”. Please note that any NFTs distributed by any organization or company other than the Company in connection with the World Exposition are not included in “MYAKU-N!”.

  1. Status MYAKU-N! Service” means the service that distributes NFTs depending on the Status acquired by Users.
  2. My Own MYAKU-N! Service” means the service that issues NFTs associated with a User-Provided Image and distributes those NFTs to the User who provided that User-Provided Image.
  3. Campaign MYAKU-N! Service” means the service that distributes NFTs to persons who participate in various campaigns, etc. in connection with the World Exposition.
  4. Pavilion MYAKU-N! Service” means the service that distributes NFTs to persons who visit the World Exposition pavilions or pavilions within the Virtual Expo.

12. “User” means a person who uses the MYAKU-N! Services.

13. “User-Provided Image(s)” means a MYAKU-N! Services NFT Linked Image that a User who wishes to use My Own MYAKU-N! Service provides to the Company for the purpose of associating it with My Own MYAKU-N!

14. “User ID” means an account that a User registers when using the Digital Wallet Services.

15. “Status” means the status granted to Digital Wallet Services users depending on the missions accomplished when those users accomplish missions designated in advance, such as the use of electronic money, point services, or collaborative programs for the World Exposition.

16. “EXPO 2025 Digital Wallet” means the wallet service provided at the World Exposition. Users may browse the Websites using the EXPO 2025 Digital Wallet.

17. “GAS Fees” means network fees necessary to use blockchain.

18. “My Own MYAKU-N!” means MYAKU-N! Services NFTs issued in connection with the My Own MYAKU-N! Service and linked to User-Provided Images.

19. “NFT” is an abbreviation for Non-Fungible Token, and it means the aggregation of a non-alternative electromagnetic token with a unique value or attribute (a transferable proprietary value that is recorded using blockchain or similar technology) and the digital content that is linked to that token.

Article 3 Registration for use

1. A person who intends to become a User (a “Registration Applicant”) shall agree to these Terms and the Individual Terms and apply for the use of the Services in the manner prescribed by the Company. Upon the completion of the registration procedure for the Services, an agreement for the use of the Services that includes these Terms and the Individual Terms as that agreement’s contents shall be established between the Registration Applicant and the Company (the “Agreement”).

2. In the event that a Registration Applicant falls under any of the items set out below, the Company may, at its own discretion, reject the Registration Applicant's registration with the Services. The Company is under no obligation to disclose the reasons for any such rejection of registration with the Services even if requested by the Registration Applicant.

  1. If the registration information includes inaccurate information, such as a falsehood, an error, or an omission
  2. If the Registration Applicant is found to fall under an Anti-social Force, Etc. prescribed in Article 18, paragraph 1
  3. If the Registration Applicant has previously breached any agreement with, or terms and conditions, etc. of, the Company in relation to the World Exposition
  4. If the Registration Applicant is a minor, adult ward, person under curatorship, or person under assistance and does not obtain the consent or other approval of a legal representative, guardian, curator, or assistant
  5. In addition to any of the preceding items, if the Company determines that the Registration Applicant’s registration with the Services is not appropriate

Article 4 Management of and changes to User IDs

1. Each User shall safely manage the password for his or her User ID at his or her own responsibility.

2. Each User may not allow any third party to use user information and may not lend, assign, trade, pledge, etc. user information to a third party.

3. If there is any change in the contents of the registration information for a User ID, the User in question shall promptly update the registered contents using EXPO 2025 Digital Wallet.

Article 5 Details of, and contents of notes regarding, the MYAKU-N! Services

1. Matters common to the MYAKU-N! Services

  1. MYAKU-N! Services NFT Linked Images are recorded outside of the MYAKU-N! Services NFT blockchain (off-chain) and not on that blockchain.
  2. Multiple MYAKU-N! Services NFTs using images of an identical design will be issued; however, one MYAKU-N! Services NFT Linked Image will be linked to each MYAKU-N! Services NFT.
  3. Each User may use the Websites to view the MYAKU-N! Services NFT Linked Image pertaining to the MYAKU-N! Services NFT allocated to the User.
  4. Unless otherwise prescribed in these Terms, the Company or a person who has granted a license to the Company holds all rights pertaining to the MYAKU-N! Services NFTs, and no legal rights are transferred to any User. Users are only authorized to view MYAKU-N! Services NFT Linked Images through the Websites during the Services Provision Period.
  5. After issuing a MYAKU-N! Services NFT, the Company (a) will store the secret key for the MYAKU-N! Services NFT until the Services Provision Period expires and the MYAKU-N! Services NFT is disposed of and (b) will not transfer any data related to the MYAKU-N! Services NFT to an address specified by any User.
  6. Even if any User requests the Company to disclose information pertaining to MYAKU-N! Services NFTs (Token IDs, Token URIs, Owner Addresses, etc.), the Company is not obliged to disclose such information to the User in question.
  7. Even after a User becomes able to view a MYAKU-N! Services NFT on the Websites, the Company may, at its sole discretion, delete from any server the MYAKU-N! Services NFT Linked Image pertaining to that MYAKU-N! Services NFT or replace it with another image.
  8. Each User shall not assign or lend to a third party, or provide as a security interest to a third party, any right pertaining to any MYAKU-N! Services NFT.
  9. MYAKU-N! Services NFTs shall not be used as a means of payment.
  10. MYAKU-N! Services NFTs shall not be used commercially or for commercial purposes.

2. Matters related to the Status MYAKU-N! Service
Each User may acquire Status MYAKU-N! depending on his or her Status. Specific details of Status and Status MYAKU-N! that may be obtained by each status will be announced separately on the Websites.

3. Matters related to the My Own MYAKU-N! Service

  1. Each participant with Status who wishes to use the My Own MYAKU-N! Service may do so.
  2. Each User who wishes to use the My Own MYAKU-N! Service will upload from the Websites a User-Provided Image that fulfills the requirements prescribed in the following Article in the manner designated by the Company on the Websites.
  3. Any User who uses the My Own MYAKU-N! Service accepts that the Company will upload User-Provided Images to the artificial intelligence services provided by Amazon Web Services, Inc. and mechanically screen for inappropriate images.
  4. The Company may, at its sole discretion, refuse to issue My Own MYAKU-N! using a User-Provided Image and will be under no obligation to disclose to Users the reasons for such refusal to issue My Own MYAKU-N!
  5. The Company issues My Own MYAKU-N! using a User-Provided Image in accordance with the format prescribed by the Company.
  6. Each User may use the My Own MYAKU-N! Service no more than once in principle.
  7. Each User accepts that if the Company issues My Own MYAKU-N!, a User-Provided Image will be uploaded to the server managed by the Company, and then anyone who knows the URL of that upload destination will become able to view that User-Provided Image.
  8. Each User accepts that the User may not delete the User-Provided Image once it has been uploaded, unless so prescribed in the Personal Information Protection Policy (https://www.expo2025-dwfs.jp/nft/en/policy.html).
  9. Each User represents and warrants that each User-Provided Image provided by himself or herself does not conflict with, or infringe, the intellectual property rights, image rights, rights to reputation, privacy rights, publicity rights, or any other rights of a third party (“Intellectual Property Rights, Etc.”). Further, each User shall not exercise the moral rights of the author (including rights to make a work public, rights of attribution, and rights to integrity), image rights, rights to reputation, privacy rights, publicity rights, etc. in any User-Provided Image.
  10. Users confirm that the intellectual property rights in User-Provided Images are not assigned or transferred to the Company pursuant to these Terms.
  11. During the period in which the World Exposition is held, the Company or the Association may, at its sole discretion, use User-Provided Images to advertise the World Exposition, to promote the MYAKU-N! Service, to introduce the achievements of the Company, and for other purposes. Each User shall not make any objection to such use by the Company or the Association.
  12. The Company may generate new images by combining or mixing multiple User-Provided Images and, for an indefinite period, create and release any artwork using those images in Japan or on the Internet.
  13. Each User (a) accepts that he or she may not delete any User-Provided Image used in accordance with the preceding two paragraphs and (b) shall not exercise the moral rights of the author (including rights to make a work public, rights of attribution, and rights to integrity), image rights, rights to reputation, privacy rights, publicity rights, etc. in any User-Provided Image used in accordance with the preceding two paragraphs or in any artwork using the images in question.
  14. If any User-Provided Image infringes any Intellectual Property Rights, Etc. of a third party, the User will be fully liable for the infringement of those Intellectual Property Rights, Etc. If any problem arises whereby an infringement of rights occurs in relation to Intellectual Property Rights, Etc. for the User-Provided Images or MYAKU-N! Services NFTs, such as in a case where the Company or the Association receives any warning, claim, or the like from a third party due to an infringement of any Intellectual Property Rights, Etc. or for any other reason, and as a result the Company, the Association, or any third party incurs any damage, the User in question shall handle the problem at its own responsibility and expense.
  15. If a third party claims that a User-Provided Image infringes any Intellectual Property Rights, Etc. of the third party, the Company may, at its own judgment, immediately suspend the use of, or delete, the User-Provided Image and the MYAKU-N! Services NFT linked to that image or take other measures without notifying the User in question, and the User in question shall not make any objection to such measures.

4. Matters related to the Campaign MYAKU-N! Service
Specific details of the Campaign MYAKU-N! Service will be announced separately on the Website.

5. Matters related to the Pavilion MYAKU-N! Service
Acquisition terms and conditions, etc. for the Pavilion MYAKU-N! Service will be announced separately on the Websites.

Article 6 Notes regarding the User-Provided Images
Each User shall not use as a User-Provided Image any image that falls under any of the items set out below.

  1. Any image that includes Personal Information; however, the User may use as a User-Provided Image any image containing information that might identify the User himself or herself (including, but not limited to, a facial portrait) on the condition that the User complies with these Terms; further, any image that might identify any third party other than the User (including, but not limited to, images containing a third party’s facial portrait) may be used as a User-Provided Image only if the User obtains from all of the third parties the permission to use such image as a User-Provided Image and is able to prove the existence of such permission to the Company
  2. Any image that may infringe the intellectual property rights, image rights, rights to reputation, privacy rights, publicity rights, etc. or other legal or contractual rights of the Company or any other third party
  3. Any of the following types of image: an image that leads to discrimination; an image that induces or promotes suicide, self-injurious behavior, or drug abuse; an image that is excessively violent; an image that includes sexually explicit expressions; an image whose content constitutes child pornography or child abuse; or any other image that includes anti-social content and causes discomfort to others
  4. Any image that is inappropriate for the purpose of the World Exposition
  5. Any image that is likely to be contrary to public order or morality
  6. In addition to the above, any image that the Company has determined to be inappropriate

Article 7 Services Provision Period

1. The period during which the Company will provide the MYAKU-N! Services (the period during which Users can view MYAKU-N! Services NFTs through the Websites) will be from July 1st, 2024 to a day that will be separately prescribed by the Company and that will fall after the expiration of the period during which the World Exposition is held.

2. The Company may extend or shorten the Services Provision Period in accordance with any change in the period during which the World Exposition is held or for any other reason.

3. Each User accepts that he or she will become unable to engage in any act related to MYAKU-N! Services NFTs, including viewing and management, after the Services Provision Period expires.

4. After the Services Provision Period expires, the Company may, at its sole discretion, Burn or otherwise dispose of MYAKU-N! Services NFTs managed on the Websites, and each User shall not make any objection to that disposal.

Article 8 Measures after the Services Provision Period

1. Notwithstanding the provisions of the preceding Article, each User may, by implementing before expiration of the Services Provision Period the procedures designated by the Company, view and manage, etc. MYAKU-N! Services NFTs even after the expiration of the use period for MYAKU-N! Services NFTs, and details of the procedures will be separately announced on the Websites by the end of the period during which the World Exposition is held. However, even if such measures are taken, the User may not assign to a third party or otherwise dispose of MYAKU-N! Services NFTs.

2. The Company does not guarantee to any User the implementation of the measures prescribed in the preceding paragraph.

Article 9 Use Fees
Use of the MYAKU-N! Services will be free of charge, and payments for GAS Fees will not be borne by Users. However, Users shall incur expenses necessary for interconnection required to use MYAKU-N! Services, including line subscription fees and telecommunication fees.

Article 10 Notice
Unless otherwise provided for in these Terms, notices or communications between each User and the Company shall be provided by the method prescribed by the Company. The Company will deem that the telephone number and e-mail address registered in a User ID account are valid and will provide notices or communications using that contact information. Even if any notice from the Company is delayed or undelivered due to a User’s failure to give notification of any change, the notice will be deemed to have been delivered to that User at the time when that notice would have ordinarily been delivered.

Article 11 Suspension of Use

1. A User may suspend his or her use of MYAKU-N! Services by implementing procedures for the suspension of use prescribed by the Company.

2. If the Company determines that a User is, or likely to be, in breach or violation of these Terms, the Individual Terms, any law or regulation, any rules or guidelines, any internal rules of industry organizations, or the like, then the Company may disqualify the User from using the MYAKU-N! Services or invalidate the eligibility of the User ID in question without providing any prior notice or demand for cure.

3. If a User falls under the provisions of either of the preceding two paragraphs, the Company may, at its sole discretion, delete any information regarding the User (including, but not limited to, MYAKU-N! Services NFTs that the User can view) from the database of the Company. However, unless a User requires the Company to delete information related to the User in accordance with the procedures prescribed by the Company, the Company will not bear any obligation to delete the User’s user information from the database of the Company.

Article 12 Confidentiality

1. Each User shall strictly and appropriately manage confidential information obtained in relation to the provision of the Services (including know-how and technical or operational confidential information regarding the Services) and shall not disclose, provide, or divulge such confidential information to any third party without the prior written consent of the Company.

2. When instructed by the Company, a User shall promptly return or destroy confidential information in accordance with the instructions by the Company and shall not use such confidential information thereafter.

Article 13 No warranty; disclaimer

1. Force majeure, etc.
If the Company determines that any of the following grounds exists, the Company may suspend or interrupt the provision of all or part of the Services without providing prior notice to the Users:

  1. if the Company performs maintenance, inspection, or updating of the computer system for the Services;
  2. if it becomes difficult to provide the Services due to an event of force majeure, such as an earthquake, lightning, fire, power outage, or natural disaster;
  3. if computers, communication lines, or the like incur stoppages due to an accident;
  4. if telecommunications, power supplies, or any other important services are interrupted;
  5. if infection by computer virus or any other similar case occurs;
  6. if a third party commits any malicious or illegal act against the Company;
  7. if any trouble, interruption, or suspension of service provision, suspension of linkage, or change of specifications, etc., occurs in services of a third party (including, but not limited to, blockchain service providers, infrastructure providers, or the like); or
  8. if the Company otherwise determines that the provision of the Services is difficult.

2. Disclaimer

  1. Unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any delay of the delivery of MYAKU-N! Services NFTs to Users.
  2. Unless there is intent or gross negligence on the part of the Company, even if MYAKU-N! Services NFTs are not available for viewing on the Websites, the Company shall not bear any liability for that unavailability.
  3. Unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any damage caused by the insufficient management of a User ID by a User.
  4. The Company shall not be involved in any User’s use environment for the Services or bear any liability for that environment.
  5. Each User accepts in advance (a) that the Company does not guarantee the availability of the Services on all information terminal devices and (b) that malfunctions may occur in the operation of the Services as a consequence of the version of the OS for an information terminal device used for the Services being updated or in other similar circumstances.
  6. The Company makes no warranty that (a) the Services will have no practical or legal defects (including flaws regarding security or the like, errors or bugs, or rights infringements), (ii) the Services will demonstrate safety, reliability, completeness, and effectiveness, (iii) the Services will conform to a specific purpose of a User, (iv) the Services will possess expected functions, commercial value, accuracy, and usefulness, (v) the use of the Services by the Users will comply with laws and regulations, internal rules of industry organizations, or the like applicable to the Users, and (vi) there will be no malfunctions.
  7. Unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any damage incurred by any User or any other third party due to a change in content, interruption, or termination of the Services.
  8. Unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any loss of opportunities, interruption of business, or any other damage (including indirect damage and loss of profits) incurred by any User or any other third party even if the Company has been notified of the possibility of such damage in advance.
  9. Unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any damage incurred by any Registration Applicant, any User, or any other third party due to inaccurate information, such as false statements, errors, or omissions in the information provided by the Registration Applicant or the User.
  10. The Company shall not be liable for any dispute, trouble, or the like between a User and another User or any other third party, and such dispute, trouble, or the like shall be resolved at the expense and responsibility of the relevant parties, except where the dispute or trouble is caused by intent or gross negligence on the part of the Company.
  11. If the Company is subject to a claim for damages or the like from a third party due to an act attributable to a User, the claim shall be resolved at the User’s expense and responsibility (including attorney fees and loss of profits). If the Company pays that third party any damages, the User in question shall pay to the Company all expenses, including those damages (and including attorney fees and loss of profits).
  12. In addition to each item stated above, unless there is intent or gross negligence on the part of the Company, the Company shall not be liable for any damage incurred by the Users due to the Services.
  13. Even if the Company is liable to compensate for any damage incurred by a User or any other third party due to any default, tort, or the like caused by the negligence of the Company (excluding gross negligence), the Company will be liable only for ordinary damage, and shall not be liable for damage arising from special circumstances, lost profits, indirect damage and attorney’s fees.

Article 14 Ownership of rights

1. Unless separately specified in these Terms, all ownership rights and intellectual property rights regarding the Services (including, but not limited to, MYAKU-N! Services NFTs and the Websites) belong to the Company or any third party that has granted a license to the Company in relation to those ownership rights or intellectual property rights.

2. Each User confirms that intellectual property rights regarding the Services are not assigned or transferred from the Company to the User pursuant to these Terms.

Article 15 Exclusivity of rights and obligations; no assignment
Status as a User and rights and obligations thereunder will belong exclusively to the User and shall not be assigned, lent, or provided as a security to a third party, unless the Company approves in writing in advance. If a User dies, those rights and obligations will automatically extinguish without succession to any other person.

Article 16 Handling of Personal Information
The Company will, in accordance with the Personal Information Protection Policy (https://www.expo2025-dwfs.jp/nft/en/policy.html) prescribed by the Company, appropriately handle Personal Information acquired in relation to the use of User IDs related to the provision of the MYAKU-N! Services.

Article 17 Prohibited matters

1. In addition to the acts separately prescribed in these Terms, each User shall not commit any of the following acts:

  1. business activities using the Services;
  2. the act of interfering with the operation of the Services;
  3. the act of breaching or violating these Terms, the Individual Terms, any law or regulation, any rules, any guidelines, or any internal rules of industry organizations or the like;
  4. the act of infringing the intellectual property rights, portrait rights, right to privacy, reputation, or other rights or interests of the Company, other Users, or other third parties (including acts that directly or indirectly cause such infringement);
  5. an act that is related to a criminal act or offensive to public order and morals;
  6. the act of using NFTs as a payment method (including the act of using NFTs for the payment of consideration in relation to unspecified persons, such as the act of using NFTs for the payment of consideration for goods, etc. in physical stores of retailers, EC sites, applications, or the like);
  7. the act of starting, or soliciting participation in, a pyramid scheme, the act of promoting multi-level marketing, or any other similar act;
  8. an act that involves, or is suspected to involve, money laundering or terrorist financing;
  9. the act of destroying or interfering with the functions of the servers or network systems of the Company or a third party;
  10. the act of sending or displaying any image, document, or the like that depicts indecency, child pornography, or child abuse;
  11. the act of impersonating a third party by using another person’s password or the like without authorization;
  12. the acts of a User acquiring, or attempting to acquire, MYAKU-N! Services NFTs using multiple User IDs;
  13. the act of providing any information that is untrue or that is likely to be untrue;
  14. the act of deleting, modifying, or obscuring any proprietary notice, including copyright notices for the Services;
  15. the act of unauthorized access, or the act of attempting such action;
  16. the act of reverse engineering or otherwise analyzing software or the like related to the Services (including, but not limited to, MYAKU-N! Services NFTs);
  17. the act of causing damage to the credibility of the Company or the Services or any act likely to cause such damage; or
  18. any other act that the Company reasonably deems inappropriate.

2. If a User causes damage to the Company or a third party in relation to the use of the Services, the User shall compensate for such damage (including reasonable attorney fees, loss of profits, and any other damage).

Article 18 Elimination of anti-social forces

1. Each User covenants and guarantees that he or she (a) is not, or will not fall under, an organized crime group, a member of an organized crime group, a person who stopped being a member of an organized crime group less than five (5) years ago, a quasi-member of an organized crime group, a company affiliated with an organized crime group, an extortionist, etc., a political racketeer, a special intelligent violent group, etc., or another party equivalent thereto (collectively, “Anti-Social Forces, Etc.”) and (b) does not fall, or will not fall in the future, under any of the following items:

  1. a User who has a relationship through which he or she is considered to be unjustly utilizing an Anti-Social Forces, Etc. for the purpose of acquiring a wrongful gain for that User or any third party or for the purpose of damaging a third party or the like;
  2. a User that has a relationship through which he or she is considered to knowingly provide funds or benefits to an Anti-Social Forces, Etc. or otherwise be involved in an Anti-Social Forces, Etc.; or
  3. a User that has a socially reprehensible relationship with an Anti-Social Forces, Etc.

2. Each User covenants and guarantees that it will not, by himself or herself or through a third party, engage in any of the following acts:

  1. a violent demand;
  2. an unjust demand that exceeds the legal liability of the demand’s recipient;
  3. use of threatening behavior or violence in connection with a transaction;
  4. spreading of rumors or use of fraudulent means or force to damage the reputation of the other party or to obstruct the other party’s operations;
  5. any other acts equivalent to any of the preceding items.

3. If a User breaches or is found to have breached any of the preceding paragraphs, the Company may immediately cancel the Agreement without providing any demand for cure.

4. The Company shall not be liable to compensate for any damage incurred by a User due to cancellation pursuant to the preceding paragraph.

Article 19 Amendments to these Terms

1. The Company may amend these Terms pursuant to the provisions of Article 548-4 of the Civil Code in either of the cases set out below. These Terms after that amendment will be applied to the Agreement after the amendment to these Terms:

  1. If the amendment to these Terms conforms to the common interests of the Users.
  2. If the amendment to these Terms is not contrary to the agreed purpose and is reasonable in light of the necessity of the amendment, the appropriateness of the amended details, the details of the amendment, and other circumstances related to the amendment.

2. In amending these Terms, the Company will inform the Users of the details of these Terms after the amendment and the effective date thereof by displaying those details on the Websites.

Article 20 Severability
Even if any provisions of these Terms wholly or partially become invalid or unlawful, the invalidity or unlawfulness shall not in any way affect, impair the legality and validity of, or invalidate, any of the other provisions of these Terms and the interpretation and application thereof.

Article 21 Governing law and jurisdiction

1. These Terms shall be construed in accordance with the laws of Japan.

2. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute that arises between the Company and any User in relation to these Terms.

Supplementary provisions
These Terms take effect from July 1st, 2024.
